Agreement to Terms
These Terms of Service ("Terms") are entered into between you and Hatchbox AI LLC, a Georgia limited liability company, doing business as iloom ("iloom," "we," "us," or "our").
By accessing, downloading, installing, or using any iloom products or services, including the iloom CLI, VS Code extension, website, and any other iloom products (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.
Scope of Services
These Terms apply to all iloom products and services, including but not limited to:
- iloom CLI – Command-line interface tool for AI-assisted development
- iloom VS Code Extension – Visual Studio Code integration
- iloom Website – The iloom.ai website and related web properties
- Future Products – Any additional products or services released under the iloom brand
Some components of the Services may be distributed under separate open-source or source-available licenses, which govern the use of those components.
License Grant
Subject to your compliance with these Terms, iloom grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. This license does not include the right to:
- Sublicense, resell, or distribute the Services
- Modify or create derivative works based on any hosted or proprietary components of the Services, except as expressly permitted by applicable open-source licenses
- Use the Services for any unlawful purpose
Individual iloom products may be subject to additional license terms as specified in their respective documentation.
Usage Restrictions
You agree not to:
- Reverse engineer, decompile, or disassemble any part of the Services
- Attempt to gain unauthorized access to the Services or related systems
- Use the Services to provide a directly competing commercial service that is substantially similar in purpose and functionality
- Use the Services in any manner that could damage, disable, or impair the Services
- Use the Services to transmit malware, viruses, or harmful code
- Violate any applicable laws or regulations while using the Services
- Use automated systems or bots to access the Services without authorization
Privacy
Your use of the Services is also governed by our Privacy Policy, available at https://iloom.ai/privacy. By using the Services, you consent to the collection and use of information as described in the Privacy Policy.
Intellectual Property
iloom's Rights
The Services, including all content, features, and functionality, are owned by iloom and are protected by copyright, trademark, and other intellectual property laws. The iloom name, logo, and all related names, logos, and designs are trademarks of iloom.
iloom may collect and use aggregated and anonymized usage data to operate, maintain, and improve the Services.
Your Rights & Data Privacy
You retain all rights, title, and interest in and to any code, content, or materials you provide to the Services ("Input") and any content generated by the Services ("Output").
No Model Training: As of the effective date of these Terms, iloom does not use your Input or Output to train, retrain, or improve our artificial intelligence models. Your data remains yours.
Feedback License
If you choose to provide input and suggestions regarding problems with or proposed modifications or improvements to the Services ("Feedback"), then you hereby grant iloom an unrestricted, perpetual, irrevocable, non-exclusive, fully-paid, royalty-free right to exploit the Feedback in any manner and for any purpose, including to improve the Services and create other products and services.
Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ILOOM DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY OF ANY CONTENT OR INFORMATION
ILOOM DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ILOOM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
- COST OF SUBSTITUTE SERVICES
- DAMAGE TO COMPUTER SYSTEMS OR LOSS OF DATA
IN NO EVENT SHALL ILOOM'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESS TO THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You acknowledge that any output generated using the Services may be inaccurate or incomplete, and you are solely responsible for reviewing, testing, and validating such output before use, including in any production or operational environment.
Indemnification
You agree to indemnify, defend, and hold harmless iloom and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Services
- Your violation of these Terms
- Your violation of any rights of another party
- Any content you submit or transmit through the Services
Termination
iloom may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination:
- Your right to use the Services will immediately cease
- You must cease all use of the Services
- Any provisions of these Terms that by their nature should survive termination will survive
Changes to Terms
iloom reserves the right to modify these Terms at any time. We will notify users of material changes by updating the "Last Updated" date at the top of these Terms. Your continued use of the Services after any changes constitutes acceptance of the new Terms.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Georgia.
Third-Party Software and Services
The Services may incorporate, depend on, or interoperate with third-party software, services, tools, or APIs, including open-source software and third-party AI models ("Third-Party Services"). Third-Party Services are provided under their own terms and conditions, and iloom does not control and is not responsible for their availability, performance, accuracy, or legality. Your use of Third-Party Services is at your own risk and subject to the applicable third-party terms.
Export Controls
You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to United States export restrictions or sanctions, and that you are not listed on any U.S. government restricted or denied party list. You agree to comply with all applicable export control and sanctions laws in connection with your use of the Services.
No Professional Advice
The Services are provided for informational and assistive purposes only and do not constitute legal, security, compliance, financial, or other professional advice. You are solely responsible for evaluating the suitability of the Services and any output generated for your specific use case.
Entire Agreement
These Terms constitute the entire agreement between you and iloom regarding the Services and supersede all prior or contemporaneous agreements, communications, representations, or understandings, whether written or oral, relating to the Services.
